Legal Advisor – Enel Green Power: Southern Africa

Enel Green Power is seeking a Legal Advisor to join its Legal & Corporate Affairs team, based in Johannesburg, to support Enel Green Power’s legal activities in the Sub-Saharan African region.

What you will do:

Primary function includes the following corporate affairs duties:

         Support and manage company secretarial and corporate governance functions for the organisation and its subsidiaries within the EGP Sub-Saharan Africa perimeter. This includes assisting the company secretary/ies with convening and minuting board and shareholder meetings, preparing board packs and resolutions, maintaining statutory registers and CIPC/Company Office filings, and ensuring compliance with the Companies Act and King IV principles (or other local legislation).

         The candidate will also be expected to support in the administration of Local Community Trusts related to the organisation’s activities, assist in the management of external Trust Managers, delegations of authority, and ensure that all corporate actions are properly documented, authorised, and filed in accordance with internal and regulatory requirements.

         The corporate affairs duties include ensuring that, with support from the Legal team, the organisation and its subsidiaries comply with internal delegations of authority; all corporate acts performed by the organisation and its subsidiaries are in accordance with the procedures required by the Companies Act; the appropriate resolutions are passed by the organisation and its subsidiaries and the organisation’s and subsidiaries corporate records are appropriately filed and maintained.

         The candidate should therefore have a sound understanding of company law and corporate affairs matters.

In addition to the above, the candidate will take on the following function:

         Be involved in providing advice and support to the Business and senior members of the Legal team including on all legal activities in the life cycle of the projects undertaken by the organisation - development, financing, construction and operation of renewable energy projects in Sub Saharan Africa. Various legal activities will be carried out in order to fulfil this role, for example: due diligence, tender interpretation and support, negotiation of term sheets, development agreements, share purchase agreements, project finance agreements (lending, security and equity documents) and power purchase agreements. The candidate should be familiar with the typical legal issues, concepts and processes in relation to these activities, and also be knowledgeable or familiar with matters that may arise in the operational phase of projects, such as dispute resolution and litigation. The candidate should also be confident to carry out activities, discussions and negotiations with relevant counterparties with a fair degree of independence.

         Support the day-to day legal needs of assigned  functional units of the organisation. The organisation has a number of functional units operating in different areas of law, so the candidate should have a good general understanding of company law and business/commercial matters.

         Attend to ad-hoc instructions relating to the legal department, provide primary support in relation to administrative matters pertinent to the legal department.

         Maintain and update the internal records of projects and activities undertaken by the organisation and its subsidiaries and be able to provide feedback / reports to the Group level structures as and when required.

         Liaise with external advisors, service providers, consultants, and agents appointed to assist in implementing the objectives of the organisation.

         Stay up to date with applicable laws and regulations in the electricity supply sector and industry matters in relation to the organisation and its project activities.

         Provide general day to day support to the Senior Legal Advisors and Head of Legal & Corporate Affairs in managing the legal and corporate affairs of the organisation.

         Contribute generally to the overall efficiency of the legal department

Who you are:

• Admitted attorney

• LLB degree

• 3 - 5 years post articles commercial/transactional legal experience obtained within (i) an energy or infrastructure team of a law firm, and/or within (ii) a corporate involved in energy or infrastructure projects and/or within  (iii) an energy or infrastructure projects department of a financial institution.

Corporate Affairs

·  Demonstrated experience in company secretarial functions, including:

o   Management for board and shareholder meetings, preparation of meeting packs, minutes, and resolutions

o   Corporate governance compliance in accordance with the Companies Act and King IV

o   Administration of trusts and familiarity with trust structures

o   Oversight of statutory registers and filings with CIPC

o   Supporting the implementation of delegations of authority and internal compliance frameworks

Legal Advisory

• Experience/knowledge with contracts (including drafting) and commercial/business matters.

• Experience and familiarity with energy and/or infrastructure projects is required.

• Experience with international or regional projects will be an added advantage.

• Experience within the renewable energy sector will be an added advantage.

• Computer literacy (working knowledge of MS Office and Outlook is essential).
